Terms & Conditions

These Terms & Conditions govern the use of waynull.com and all services provided by Waynull, including software development, consulting, and SaaS and white-label platforms. By using the website or our services, you agree to them.

Last updated 18 October 2026

  1. 01About us

waynull.com is operated by Waynull, an EV charging software company headquartered in Mumbai, India. We provide EV charging software development and consulting services to clients worldwide, and operate SaaS and white-label platforms through direct customer subscriptions. Our services are for businesses, not consumers.

  2. 02Engagements and order of precedence

Each engagement is set out in a written proposal, statement of work (SOW), master services agreement (MSA) or licence agreement that describes scope, deliverables, timeline, fees and acceptance. If a signed document says something different from these Terms, the signed document applies to that engagement. On request, we sign a mutual non-disclosure agreement before any discovery work.

  3. 03Delivery and timelines

Timelines are discussed and agreed before payment and recorded in the SOW. Each engagement has a named point of contact on our side, and progress is shared through standard project management and communication tools, with regular updates and access to work in progress.

  4. 04Acceptance

Deliverables are reviewed against the acceptance criteria in the SOW. You tell us in writing about anything that does not meet them within the review period agreed in the SOW, and we fix it. A deliverable is accepted when you approve it, when the review period ends without a written report of a defect, or when it is used in production.

  5. 05Change requests

Changes to scope, features or timeline are agreed in writing before they start, with their effect on fees and dates. Work outside the agreed scope is billed under the change request or at the agreed rates.

  6. 06Fees and payment

Fees are set out in the proposal or SOW. Clients may be billed weekly or per milestone. For project services, we typically collect 20% upfront and the remainder in agreed milestones. SaaS and white-label customers pay through monthly or annual subscriptions. Unless stated otherwise, fees exclude taxes such as GST, which are added where they apply. We may pause work on an engagement while undisputed invoices are overdue.

  7. 07Your responsibilities

You are responsible for the accuracy of what you give us, for timely feedback and approvals, for keeping your accounts and credentials secure, and for having the rights to any content, data, logos and third-party accounts you ask us to use. Delays caused by missing inputs may move timelines and fees.

  8. 08Acceptable use

Clients agree not to misuse any software, platform or service we provide. Misuse may lead to suspension or termination without refund, and includes:

    • Using our software or platforms for anything unlawful, fraudulent or harmful.
    • Trying to gain unauthorised access to, probe, attack or overload our systems, or other clients' data.
    • Copying, reselling, sublicensing, reverse engineering or decompiling our software, except as a licence allows.
    • Removing notices, or using our name, logo or work to suggest an endorsement we have not given.
  9. 09Intellectual property

All deliverables and SaaS products are subject to the IP terms of the relevant contract or licence. Unless that contract says otherwise:

    • Ownership of custom deliverables, including their source code, passes to the client once all fees for them are paid in full.
    • We keep ownership of our pre-existing tools, libraries, frameworks and know-how, and grant the client a perpetual licence to use them as part of the deliverables.
    • SaaS and white-label platforms remain ours and are licensed, not sold.
    • Open-source components stay under their own licences, and we tell you which ones a deliverable includes on request.
  10. 10Confidentiality

Each side keeps the other's non-public business and technical information confidential, uses it only for the engagement, and limits access to people who need it and are bound by the same duty. This does not cover information that is public, already known, independently developed, or that must be disclosed by law. These duties survive the end of the engagement.

  11. 11Data protection and security

We handle personal data as described in our Privacy Policy. Where we process data on a client’s behalf, we act only on its documented instructions, protect it with appropriate security measures, notify it of any incident affecting its data without undue delay, and sign a data processing agreement on request.

  12. 12Our team and subcontractors

Services are delivered by our team and, where useful, by vetted subcontractors bound by confidentiality and IP terms at least as protective as these. We remain responsible for their work. We act as an independent contractor; nothing in these Terms creates a partnership, joint venture or employment relationship.

  13. 13Our warranty

We warrant that services will be performed with reasonable skill and care, by qualified people, in line with good industry practice, and that deliverables will materially match the agreed specification at acceptance. If they do not, we will re-perform or fix the work at no extra cost during the warranty period set in the contract. This is your main remedy for a breach of this warranty.

  14. 14Disclaimer

Apart from the warranty above and anything a signed contract adds, services, software, the website and its content are provided "as is" and "as available", without other warranties of any kind, including fitness for a particular purpose, uninterrupted operation or error-free results, to the extent permitted by law.

  15. 15Hardware, sites and regulation

We provide software and consulting. Unless a signed contract expressly says otherwise, chargers and other hardware, electrical installation, grid connection, site safety, permits, metering accuracy and compliance with local energy, payment and consumer laws are the responsibility of the client and its hardware and site partners. Our protocol, regulatory and market information is general guidance, not legal, financial or engineering advice.

  16. 16Third-party services

Our work often connects to third parties such as charger firmware, payment gateways (for example Razorpay), roaming hubs, app stores, maps and cloud hosting. Those services run under their own terms. We are not responsible for their availability, fees, decisions, changes or failures.

  17. 17Limitation of liability

To the maximum extent permitted by law, neither side is liable for any indirect, incidental, special or consequential loss, including lost profits, revenue, data, charging sessions or business opportunity. Unless a signed contract sets a different cap, our total liability for any claim connected to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

  18. 18Indemnity

You agree to defend and indemnify Waynull against claims, losses and costs arising from your misuse of our services, your breach of these Terms, your content or data, or your hardware, sites and operations.

  19. 19Term, suspension and termination

Either side may end an engagement as set out in its contract. We may suspend access to our services immediately for non-payment, misuse or a security risk. Fees for work already done remain payable. When an engagement ends, we hand over the deliverables and source code that have been paid for, return or delete your data as agreed, and can support the transition to another team at the agreed rates.

  20. 20Portfolio and references

We may name clients and show their logo and a general description of the work in our portfolio, unless the client asks us not to or the work is under NDA.

  21. 21Force majeure

Neither side is liable for delay or failure caused by events beyond reasonable control, such as natural disasters, outages of power, internet or cloud providers, government action or war. The affected side tells the other promptly and works to limit the impact.

  22. 22Website content

Figures, market facts and regulations on this site are shared for general information, with sources linked where possible, and may change. Product names, standards and logos (for example OCPP and OCPI) belong to their respective owners and are used only to describe compatibility.

  23. 23Refunds

Refunds are issued under specific conditions, set out in our Refund Policy.

  24. 24Governing law and disputes

These Terms are governed by the laws of India. Any dispute will first be raised in writing at mehmedkhan16@gmail.com, and senior people on both sides will try to resolve it in good faith. If it is not resolved, the courts at Mumbai, India have exclusive jurisdiction, unless a signed contract chooses another forum.

  25. 25General

If any part of these Terms is found unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. Neither side may transfer its rights under these Terms without the other's written consent, which will not be unreasonably withheld. We may update these Terms; the date at the top shows the latest version, and changes do not affect signed contracts already in force.
